1. THE INTERMEDIARY ROLE OF AXXESS
AXXESS (operating through the subcategory AXXESS Rides and Rentals) operates strictly as a digital technology aggregator and intermediary. We provide a proprietary marketplace platform that facilitates connections between independent Users (“Customers”) and independent Third-Party Providers (“Vendors”).
AXXESS does not:
Own, lease, manage, or maintain any vehicles, taxi fleets, guest houses, or apartments.
Employ drivers, hosts, or rental agents.
Act as a real estate broker, transportation carrier, or travel agency.
Every booking confirmed through the platform constitutes a separate and direct legal contract between the User and the Vendor. AXXESS is not a party to that contract, nor is it a "party to the record" in any dispute between a User and a Vendor.
2. VENDOR ELIGIBILITY & USER AGE REQUIREMENTS
While AXXESS permits users of legal age to access the application, specific service eligibility is determined solely by the Vendor:
Vendor Authority: Vendors (specifically car rental agencies) may enforce their own age restrictions (e.g., 21+, 25+), surcharges for young drivers, or specific license requirements.
Compliance: It is the User's sole responsibility to confirm they meet a Vendor’s specific criteria before booking.
Forfeiture: If a Vendor denies service because a User fails to meet age or licensing requirements, AXXESS is not liable for any resulting losses, and any refund remains subject to the Vendor’s cancellation policy.
3. QUALITY, VISUAL, & SENSORY DISCLAIMER
AXXESS strives for accuracy, but the platform relies on information provided by Third-Party Providers.
Image Sourcing: Images and media on the platform may be provided by Vendors or captured by AXXESS representatives on behalf of Vendors. Regardless of the source, these visuals are intended for illustrative purposes only.
Visual Accuracy: We do not warrant that a vehicle or room will be identical to the images shown at the time of booking. Assets are subject to upgrades, maintenance substitutions, or general wear and tear.
Sensory & Subjective Experience: AXXESS disclaims all liability regarding the "subjective quality" of a service. This includes, but is not limited to: vehicle odors (e.g., smoke, upholstery age), noise levels at accommodations (e.g., construction, neighbors), climate control effectiveness, or general "ambiance."
Service Standards: The ultimate quality and safety of a ride or stay remain the sole responsibility of the Vendor.
4. PAYMENTS: GATEWAYS & CASH ON DELIVERY (COD)
Digital Payment Gateways: Transactions are processed via secure third-party payment processors. AXXESS does not store sensitive financial data (e.g., full CVV or credit card numbers) and is not liable for gateway failures, unauthorized breaches, or processing errors by these third parties.
Cash Transactions (COD): Where "Cash on Delivery" or "Pay on Arrival" is an option, the financial transaction occurs entirely outside the AXXESS platform. AXXESS cannot verify, track, or refund any cash payments made directly to a Vendor.
Pricing Disputes: Any disputes regarding overcharging or unauthorized fees levied by a Vendor must be resolved directly between the User and the Vendor.
5. OPERATING HOURS & BOOKING TIMING
Vendor Schedules: Vendors operate according to their own business hours and availability AXXESS does not guarantee that a Vendor will be active or responsive 24/7.
Time Zones: All booking times are relative to the local time in Saint Vincent and the Grenadines unless otherwise explicitly stated.
No-Shows: AXXESS is not responsible if a Vendor is closed during their stated operating hours or fails to appear for a scheduled pickup or check-in.
6. CANCELLATIONS, DATA, & EXTERNAL LINKS
Cancellations: Each booking is subject to the specific cancellation policy of the individual Vendor. AXXESS may facilitate the communication of a cancellation, but the Vendor's policy dictates the eligibility and timing of refunds.
Data & Privacy: By using the platform, you acknowledge that AXXESS must share your contact and identification data with the Vendor to fulfill the booking. Use of this data by the Vendor is subject to the Vendor’s own privacy practices.
External Links: AXXESS may display links to third-party sites (maps, insurance, local tourism). We do not control, endorse, or assume liability for the content, privacy policies, or security of these external platforms.
7. FORCE MAJEURE
AXXESS shall not be held responsible for any delay, cancellation, or failure of service resulting from "Acts of God" or events beyond our reasonable control. This includes, but is not limited to:
Volcanic activity, hurricanes, floods, or earthquakes.
Civil unrest, strikes, or government-mandated lockdowns.
Widespread internet service provider (ISP) failures or telecommunication outages.
8. LIMITATION OF LIABILITY & INDEMNITY
To the maximum extent permitted by the laws of Saint Vincent and the Grenadines:
No Indirect Damages: AXXESS, its directors, and employees shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, missed flights, or personal distress).
Liability Cap: In any event, the total aggregate liability of AXXESS to any User for all claims arising from the use of the platform shall not exceed the total service fee (if any) paid by the User to AXXESS for the specific transaction in dispute.
Indemnity: You agree to indemnify, defend, and hold harmless AXXESS from any claims, losses, or legal fees (including attorney fees) arising from your breach of these terms, your interaction with a Vendor, or your violation of any third-party rights (including property damage or personal injury).
9. DISPUTE RESOLUTION & GOVERNING LAW
Governing Law: This agreement is governed by and construed in accordance with the laws of Saint Vincent and the Grenadines.
Mediation First: In the event of a dispute between the User and AXXESS, both parties agree to first attempt resolution through informal mediation.
Jurisdiction: If mediation fails, all legal proceedings shall be brought exclusively before the courts of Saint Vincent and the Grenadines.
