Customer Terms of Use — Shop N Drop Platform

INTRODUCTION
Welcome to Shop N Drop. These Terms and Conditions ("Terms") govern your use of the Shop N Drop platform, including our mobile application, website, and any related services (collectively, the "Platform"), operated by Anotha Tech Company, a company registered in Uganda.
By placing an order, creating an account, or using the Platform in any way, you agree to be bound by these Terms. Please read them carefully before using the Platform. If you do not agree with any part of these Terms, you should not use the Platform.

1. DEFINITIONS
"We", "Us", "Our" — Shop N Drop, operated by Anotha Tech Company.
"You", "Customer", "User" — Any individual who accesses or uses the Platform to browse, order, or receive goods.
"Platform" — The Shop N Drop mobile application, website, and any associated ordering or delivery interface.
"Order" — A confirmed request placed by you through the Platform to purchase and receive goods from an Affiliate Partner.
"Affiliate Partner" or "Vendor" — A local business whose products are listed and sold through the Platform.
"Delivery Fee" — The charge applied to your Order for delivery to your specified location.
"Delivery Zone" — A defined geographic area within which Shop N Drop offers delivery services.
"Account" — Your registered user profile on the Platform.
2. ELIGIBILITY & ACCOUNT REGISTRATION
2.1 Age & Eligibility
You must be at least 18 years of age to create an account and place orders on the Platform.
By using the Platform, you confirm that you are of legal age and have the capacity to enter into a binding agreement under Ugandan law.
Certain products (such as medicines) may have additional eligibility requirements. You are responsible for ensuring you are eligible to purchase any product you order.
2.2 Account Registration
To place orders, you must register an account on the Platform using a valid phone number.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must provide accurate and up-to-date information during registration and keep your account details current.
You must not create more than one account, use another person's account, or create an account for fraudulent purposes.
We reserve the right to suspend or terminate your account if we believe it is being used fraudulently or in violation of these Terms.
3. PLACING ORDERS
3.1 How Orders Work
Shop N Drop operates as an affiliate ordering and delivery platform. When you place an order:
You are purchasing products from an Affiliate Partner whose goods are listed on the Platform.
Shop N Drop collects your payment and facilitates delivery to your location.
Your order is forwarded to the relevant Affiliate Partner for preparation and collection by a Shop N Drop rider.
Shop N Drop is responsible for the delivery of your order, but the Affiliate Partner is responsible for the product quality and accuracy.
3.2 Order Confirmation
An order is confirmed once you receive a confirmation message via WhatsApp or within the Platform.
Order confirmation does not guarantee that all items are in stock. In the unlikely event that an item is unavailable after your order is placed, Shop N Drop will notify you promptly and arrange a refund or substitute where possible.
You are responsible for ensuring that your delivery location, contact number, and order details are accurate at the time of placing your order.
3.3 Order Modifications & Cancellations
Orders may be modified or cancelled only before a rider has been dispatched to collect your order.
To modify or cancel an order, contact Shop N Drop immediately via WhatsApp using your order reference number.
Once a rider has been dispatched, cancellations may not be possible. Any applicable refund in this case is subject to our Refund & Returns Policy.
We reserve the right to cancel any order at our discretion — for example, if a product becomes unavailable, if there is a pricing error, or if we suspect fraudulent activity. You will be notified and refunded in full in such cases.
4. PRICING & PAYMENT
4.1 Product Pricing
All product prices displayed on the Platform are in Ugandan Shillings (UGX) and are inclusive of any applicable taxes unless stated otherwise.
Prices may change from time to time. The price applicable to your order is the price displayed at the time you confirm your order.
Shop N Drop makes every effort to ensure prices are accurate. In the event of a pricing error, we will notify you before processing your order and you will have the option to proceed at the correct price or cancel for a full refund.
4.2 Delivery Fees
A delivery fee is charged on each order based on your delivery zone. Zone-based fees are displayed clearly before you confirm your order.
Orders with a product subtotal exceeding UGX 100,000 qualify for free delivery. The free delivery threshold applies to the product value only and excludes any other applicable fees.
Delivery fees are non-refundable except in cases where Shop N Drop fails to deliver your order through no fault of your own.
4.3 Payment Methods
At launch, Shop N Drop accepts the following payment methods:

Pay via your MTN MoMo registered number. Payment is processed at the time of order confirmation.
Airtel Money
Pay via your Airtel Money registered number. Payment is processed at the time of order confirmation.
Payment must be completed before your order is processed and dispatched.
Shop N Drop does not store your mobile money PIN or account credentials. All payment transactions are processed through the respective mobile money provider's secure system.
If a payment fails, your order will not be confirmed. Please ensure sufficient balance before placing an order.
All transactions are final upon successful payment confirmation. Refunds are handled in accordance with our Refund & Returns Policy.
5. DELIVERY
Full details of our delivery service, zones, fees, and timelines are set out in our Delivery Policy, which forms part of these Terms. Key points are summarized below:
Shop N Drop delivers within Kira Town and surrounding areas: Bulindo, Kito, Buwate, Najjeera, Mulawa, Nsasa, and Kungu.
Delivery fees are zone-based and are displayed at checkout before you confirm your order.
We aim to deliver all orders within 45 minutes of order confirmation within Kira Town. Delivery times may vary due to traffic, weather, or order volume.
You are responsible for being available at your delivery location when the rider arrives. If you are unavailable, the rider will attempt to contact you. Undelivered orders due to your unavailability are not eligible for a delivery fee refund.
You must provide an accurate delivery location. We strongly recommend dropping a WhatsApp location pin for fastest and most accurate delivery.
6. PRODUCT QUALITY & RESPONSIBILITY
Products listed on the Platform are supplied by independent Affiliate Partners. While Shop N Drop takes reasonable steps to ensure Partners meet quality standards, we cannot guarantee the quality of every product supplied by every Partner.
Affiliate Partners bear primary responsibility for the quality, safety, hygiene, authenticity, and legal compliance of the products they supply.
If you receive a product that is defective, incorrect, spoiled, or not as described, please contact Shop N Drop via WhatsApp immediately with your order reference. We will investigate and, where appropriate, arrange a refund or replacement in accordance with our Refund & Returns Policy.
Shop N Drop does not sell or endorse any pharmaceutical product as medical advice. Always consult a qualified healthcare professional before purchasing or using any medicine or health product.
7. ACCEPTABLE USE & PROHIBITED CONDUCT
By using the Platform, you agree not to:
Use the Platform for any unlawful purpose or in violation of applicable Ugandan laws.
Place fraudulent, false, or bad-faith orders with no intention of receiving or paying for the goods.
Attempt to manipulate pricing, promotions, or referral systems through dishonest means.
Interfere with or disrupt the Platform, its servers, or its security systems.
Impersonate any person or entity or misrepresent your identity on the Platform.
Use the Platform to harass, abuse, or threaten any rider, partner, or Shop N Drop staff member.
Attempt to contact riders or Affiliate Partners to transact outside the Platform.
Reverse engineer, copy, or distribute any part of the Platform's software or content.
We reserve the right to suspend or permanently ban any account that violates these prohibited conduct rules.
8. INTELLECTUAL PROPERTY
The Shop N Drop name, logo, tagline ("Fast. Easy. Delivered."), platform design, and all associated content are the intellectual property of Anotha Tech Company and are protected under applicable Ugandan law.
You may not use, copy, reproduce, or distribute any Shop N Drop branding or content without prior written permission.
Product images and descriptions on the Platform are provided by Affiliate Partners and are subject to their respective intellectual property rights.
9. PRIVACY & DATA
Your privacy matters to us. Our Privacy Policy explains in full how we collect, use, and protect your personal data. Key points:
We collect your name, phone number, delivery location, and order history to operate our service.
We do not sell your personal data to third parties.
Your delivery location is shared with the assigned rider solely to complete your delivery.
We use your contact number to send order updates via WhatsApp.
By using the Platform, you consent to the collection and use of your data as described in our Privacy Policy.
10. LIMITATION OF LIABILITY
Shop N Drop provides its services on a reasonable efforts basis. We do not guarantee uninterrupted, error-free service at all times.
To the maximum extent permitted by Ugandan law, Shop N Drop's total liability to you for any claim arising from your use of the Platform shall not exceed the total value of the Order(s) to which the claim relates.
We are not liable for losses that are indirect, incidental, or consequential — including loss of earnings, data, or business opportunities.
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to power outages, severe weather, road closures, or mobile network disruptions.
Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence, as such limitations are not permitted under Ugandan law.
11. PROMOTIONS, DISCOUNTS & REFERRAL PROGRAMMES
From time to time, Shop N Drop may offer promotional discounts, referral credits, or loyalty rewards. These are governed by the specific terms communicated at the time of each promotion.
Promotions are non-transferable, have no cash value, and may not be combined unless expressly stated.
We reserve the right to withdraw, modify, or expire any promotion at any time without notice.
Abuse of promotional or referral programmes — including creating fake accounts to claim credits — will result in account suspension and forfeiture of any credits accrued.
12. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes in our services, operations, or applicable Ugandan law. When we make material changes, we will notify you via WhatsApp or a notice on the Platform. Continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms.
The current version of these Terms will always be accessible on the Platform.
13. SUSPENSION & TERMINATION OF ACCESS
We reserve the right to suspend or terminate your access to the Platform at any time if we believe you have violated these Terms, engaged in fraudulent activity, or behaved in a manner harmful to our riders, partners, staff, or other customers.
You may close your account at any time by contacting us via WhatsApp. Account closure does not affect any outstanding orders, payment obligations, or refund claims.
Upon termination, your right to use the Platform ceases immediately.
14. DISPUTE RESOLUTION & GOVERNING LAW
If you have a complaint or dispute about our service:
Contact us first via WhatsApp with your order reference number and a description of the issue.
We will aim to respond and resolve the matter within 48 hours of receiving your complaint.
If the matter is not resolved to your satisfaction, it may be referred to mediation under Ugandan law.
These Terms are governed by and construed in accordance with the laws of the Republic of Uganda. Any unresolved legal disputes are subject to the exclusive jurisdiction of the courts of Uganda.
